Welcome to Upskill Learning. These Terms and Conditions (“Terms”) govern your use of our online learning platform, including any software, content, or services (the “Platform”). By creating an account or using the platform, you acknowledge that you have read, understood and agree to be bound by these terms. It is your responsibility to review these terms periodically, as Upskill Learning may update them from time to time. We provide subscription-based digital learning materials aligned with the UK Curricula, designed for educational institutions, parents, and individual learners.

You must be at least 18 years old to register for an account and make payments. If you are under 18, you must use the platform only with the consent and supervision of a parent, guardian, or teacher.

We offer a free trial period so that you can experience the platform before subscribing.

3.1 Trial Period

• The duration of the free trial is specified at the time of sign-up.
• During the trial, you can access the platform at no charge.
• You will need to provide valid payment details to start the trial, but no payment will be taken until the trial has concluded.

3.2 Transition to a paid subscription

• At the end of the free trial, your subscription will automatically convert to a paid plan unless you cancel prior to the trial ending.
• If you are an individual user, the first payment will be charged to your registered credit/debit card on the day following the trial expiration.
• If you are an educational institution, your subscription will automatically convert to a paid plan upon payment of any outstanding invoice(s)

You will be notified (via email or on-screen notice) before the trial period expires.

4.1 Payment Method
Individual users must provide valid credit or debit card details, or in the case of educational establishments, settle any outstanding invoices to activate your subscription. All payments are processed through secure, PCI-compliant third-party payment processors.

4.2 Billing Cycle
Subscriptions renew automatically on a monthly or annual basis (as selected).
You authorise us to charge your card automatically at each renewal unless you cancel beforehand.

4.3 Price Changes
-We may adjust subscription prices with 30 days’ prior notice. Continued use after a price change constitutes acceptance.

4.4 Taxes
All prices include VAT unless otherwise stated.

5.1 Cancelling During the Free Trial

• You may cancel at any time during your free trial without charge.
• To cancel, visit your account settings or email support@upskilllearning.co.uk before the trial ends.

5.2 Cancelling a Paid Subscription

• You may cancel a paid subscription at any time via your account.
• Cancellation will take effect at the end of the current billing period — no further charges will apply, and access continues until that date.

5.3 Refunds
Refunds are available only where required by UK consumer law, such as:

• You cancel within 14 days of your initial payment and have not accessed any paid content; or
• The service is faulty or not as described.

Once digital content is accessed, your right to a “cooling-off period” under UK law no longer applies. Refunds (if applicable) will be processed to your original payment method within 14 working days.

You are responsible for maintaining the confidentiality of your login details and for all activity under your account. You must not share your account with others or use another person’s account. We may suspend or terminate your account if we suspect misuse or unauthorised access.

You agree to use the Platform only for lawful and educational purposes. You must not:

• Copy, distribute, or resell the learning materials;
• Circumvent access controls or use automated systems to extract data;
• Upload or share harmful or illegal content;
• Interfere with the operation or security of the platform.
• Attempt to jailbreak the AI models used on the site so that the tools do not operate as they’re designed to.

All content, including text, videos, images, quizzes, and software provided through the Platform (“Learning Materials”), are owned or licensed by Upskill Learning. You are granted a limited, non-exclusive, non-transferable licence to access and use the Learning Materials for personal, educational, and non-commercial purposes only.

You must not:

• Copy, reproduce, or distribute any learning materials;
• Share login credentials;
• Circumvent or disable access controls;
• Use the Platform for any unlawful purpose.

We aim to keep the Platform accessible 24/7 but cannot guarantee uninterrupted service. We may update, modify, or suspend access for maintenance or improvements at any time.

Nothing in these Terms limits or excludes liability for death, personal injury, or fraud. To the maximum extent permitted by law:

• We are not liable for indirect or consequential losses, including data loss or loss of learning outcomes;
• Our total liability in any 12-month period shall not exceed the total amount paid by you for the subscription during that period.

We process personal data in accordance with our Privacy Policy, which complies with the UK GDPR and Data Protection Act 2018.

By using the Platform, you consent to such processing.

We may suspend or terminate your access if:

• You breach these Terms
• Your payment method fails; or
• We discontinue the service (with reasonable notice)

Upon termination, your right to access the platform and its materials ends immediately.

We may update these Terms from time to time.
If material changes occur, we will notify you via email or in-app notice.
Continued use of the Platform after notice constitutes acceptance of the updated Terms.

These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
